Terms of Service

The terms governing your use of the BidNeuron platform.

By accessing or using the BidNeuron platform, you agree to be bound by these Terms of Service. If you do not agree, you may not use the platform.

1. Definitions

  • Platform — the BidNeuron DSP technology, dashboard, APIs, and associated services
  • Client — any advertiser, agency, or trading desk with an active BidNeuron account
  • Campaign — any advertising program managed through the Platform
  • Inventory — digital advertising placements purchased via RTB or direct deals

2. Eligibility & Account Access

Access to the BidNeuron platform is by application only. BidNeuron reserves the right to approve, reject, or terminate any account at its sole discretion. Clients must maintain a minimum monthly media budget as agreed in their Master Service Agreement (MSA).

Clients are responsible for maintaining the confidentiality of their account credentials and for all activity conducted under their account.

3. Advertiser Obligations

Clients agree to:

  • Provide accurate campaign briefs, KPIs, and targeting parameters
  • Maintain valid tracking infrastructure (MMP, server-side APIs, or verified conversion pixels)
  • Ensure all creative assets comply with applicable laws and industry standards (IAB, GDPR, CCPA)
  • Obtain all necessary consents from end-users in the relevant jurisdictions
  • Not engage in misleading, deceptive, or illegal advertising practices

4. Prohibited Content & Practices

The following categories are strictly prohibited on the BidNeuron platform:

  • Malware, spyware, or any malicious code
  • Illegal products or services (including unlicensed pharmaceuticals, weapons)
  • Content targeting minors in age-restricted categories
  • Click fraud, impression fraud, or any form of invalid traffic manipulation
  • Arbitrage-driven campaigns or undisclosed reselling of BidNeuron inventory
  • Campaigns violating applicable iGaming or financial services regulations

5. Billing & Payment

Media spend is billed as agreed in the MSA. Invoices are issued monthly or per billing cycle. Payments are due within 30 days of invoice date. Late payments may incur a 1.5% monthly interest charge. BidNeuron reserves the right to suspend campaigns for non-payment.

6. Platform Availability & SLA

BidNeuron targets 99.9% platform uptime, excluding scheduled maintenance windows. Planned maintenance will be communicated with at least 48 hours notice. BidNeuron does not guarantee specific delivery volumes, win rates, or campaign outcomes.

7. Data Ownership

Clients retain ownership of their first-party data and campaign performance data. BidNeuron may use aggregated, anonymized campaign data for platform optimization and benchmarking purposes, provided no client-identifying information is disclosed.

8. Intellectual Property

The BidNeuron platform, technology, algorithms, and brand assets are the exclusive property of BidNeuron AdTech. Clients are granted a limited, non-transferable license to use the platform solely for their own advertising campaigns.

9. Limitation of Liability

To the maximum extent permitted by law, BidNeuron's total liability for any claim arising from platform use shall not exceed the fees paid by the Client in the three months preceding the claim. BidNeuron is not liable for indirect, incidental, or consequential damages.

10. Termination

Either party may terminate the service relationship with 30 days written notice. BidNeuron may terminate immediately for material breach, including violation of prohibited content policies or non-payment.

11. Governing Law

These terms are governed by the laws of Singapore. Disputes shall be resolved by arbitration in Singapore under SIAC rules, unless otherwise specified in the MSA.
